Terms of Service

1. Agreement to these Terms
These Terms of Service (the “Terms”) form a binding agreement between you and SourceML (“SourceML”, “we”, “us”) governing your access to and use of the SourceML website, applications, and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
SourceML is a talent-sourcing and outreach platform. It helps you discover researchers and professionals using public academic and web data, organize candidates into projects, generate outreach content, and run multi-step email sequences sent through an email account you connect (such as Google Gmail or Microsoft Outlook).
3. Eligibility and accounts
- You must be at least 18 years old and able to enter a binding contract.
- You are responsible for the information you provide, for keeping it accurate, and for all activity that occurs under your account.
- You are responsible for maintaining the security of your login and for any actions taken with it.
4. Subscriptions, billing, and trials
- Some features require a paid subscription. The plans, prices, and any free trial are described at checkout.
- Payments are processed by our payment provider, Stripe. By subscribing you authorize recurring charges for the plan you select until you cancel.
- You can cancel at any time; your access continues until the end of the current billing period. Fees already paid are non-refundable except where required by law.
5. Connected email accounts and outreach
The Service lets you connect a third-party email account (for example, Gmail or Outlook) so you can send outreach and track replies. When you connect an account, you authorize SourceML to access it only to provide the features you request: sending the messages you compose or enroll in a sequence, reading the replies to those messages, and displaying delivery and reply status.
You are solely responsible for the content of every message you send and for complying with all applicable laws and your email provider’s terms. This includes anti-spam and privacy laws such as CAN-SPAM, CASL, and the GDPR/ePrivacy rules. You must have a lawful basis to contact each recipient, must not send unsolicited bulk email, and must honor opt-out and unsubscribe requests promptly.
You may disconnect a connected account at any time, which revokes SourceML’s access going forward. See the Privacy Policy for how connected-account data is stored and deleted.
6. Acceptable use
You agree that you will not:
- send spam, unsolicited bulk email, or content that is unlawful, deceptive, harassing, defamatory, or infringing;
- scrape, resell, or redistribute data obtained through the Service except as expressly permitted;
- attempt to breach security, disrupt, overload, or reverse engineer the Service;
- use the Service to violate the privacy or rights of any person, or to violate any applicable law.
7. Candidate and third-party data
The Service surfaces information about individuals from public sources (such as academic publications) and third-party providers. You are responsible for how you use this information and for complying with applicable data-protection laws when you store, process, or contact individuals. You must honor requests from individuals to access or delete data you hold about them.
8. Intellectual property
The Service, including its software, design, and content, is owned by SourceML and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the content you create, such as your sequence templates and messages.
9. Third-party services
The Service integrates with third parties such as Google, Microsoft, Stripe, OpenAI, and OpenAlex. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for third-party services.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not warrant that candidate data is accurate or complete, that the Service will be uninterrupted or error-free, or that outreach will be delivered or produce any particular result.
11. Limitation of liability
To the maximum extent permitted by law, SourceML will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
12. Indemnification
You will indemnify and hold harmless SourceML and its affiliates from any claims, damages, and expenses arising out of your use of the Service, your content or outreach, or your violation of these Terms or of any law or third-party rights.
13. Termination
We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or as needed to comply with law. You may stop using the Service at any time. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
14. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will post the updated version with a new “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the jurisdiction in which SourceML is established, without regard to its conflict-of-laws principles, and the courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless applicable law requires otherwise.
